1. Acceptance of these Terms

The Services are operated by Loppee, Inc., a Florida Profit Corporation (document number P26000036106). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a business, you represent that you are authorized to bind that business.

2. The Services

Loppee provides a business-trust registry and directory, including verification signals, Trust Cards, and machine-readable data for AI agents. We may add, change, or discontinue features at any time.

The optional service-destination address feature includes Google Maps Platform features and content through address autocomplete while you type and the Address Validation API after you submit. Loppee sends partial address text through its server to Google after four normalized characters and does not retain the partial input or returned suggestions. Use of those features and content is subject to the current terms below. For addresses in the United States and Puerto Rico, Google may use United States Postal Service data and services for address validation. Google's current service-specific terms state that, if an artificially created U.S. or Puerto Rico address is submitted, Google will stop USPS-based validation for Loppee and report to USPS Loppee's name and address as Google's customer (not the end user's Loppee account information), the relevant input address, and aggregated Address Validation API usage data, subject to Google's agreement and USPS security measures. Those terms include the Google Maps Platform Terms of Service, the Google Maps/Google Earth Additional Terms of Service, and the Google Privacy Policy.

3. Accounts & authentication

You must be at least 18 to create an account or use account-based Loppee Services, including Jobs, reviews, messaging, business claims, billing, and connected-application workflows. By creating or using an account, you represent that you are 18 or older and legally able to agree to these Terms.

Sign-in may use a passwordless email magic link, an enabled OAuth provider, or a passkey. You are responsible for maintaining access to your authentication methods and for activity that occurs under your account. Privileged and sensitive operations may require step-up multi-factor authentication. API and MCP connector access may use scoped agent keys or an OAuth connection approved on a consent screen. You are responsible for protecting credentials and for reviewing the permissions and consequential actions you approve.

4. Agent/API and MCP connector access

• Public discovery and registry endpoints may be used by humans, developers, and AI agents subject to published rate limits, robots/noindex controls where applicable, and these Terms. Public discovery credentials do not authorize access to private Jobs data, applicant materials, messages, or employer workflow data.
• Write and business-management tools require a scoped credential or OAuth connection. Each connection is limited by account, approved permission, and, for owner management, one selected business. You may not bypass, share, resell, or use a credential outside its authorized scope. You can disconnect an OAuth app to revoke future access.
• Agents must preserve Loppee's class and neutrality disclosures, must not misstate any business or registry record, and must ask for human confirmation before bookings, quote acceptance, payments, or regulated advice.
• Agents may record an applicant status only after an authorized human owner has independently chosen the exact status. Agents may not rank applicants, assign applicant ratings, shortlist, reject, hire, or recommend an employment decision for the owner.
• Loppee may throttle, suspend, revoke, or block API/MCP access that is abusive, insecure, misleading, unauthorized, or inconsistent with the published tool descriptions and schemas.

5. Business listings & submissions

• You may submit business information, documents, and evidence only if you have the right to do so, and you represent that your submissions are accurate and not misleading.
• For content you designate or submit for public display, you grant Loppee a non-exclusive, worldwide license to host, use, reproduce, format, display, and distribute that content as needed to operate and promote the applicable Loppee listing or feature, including on public Trust Cards and listings. Private applicant, account, message, and verification materials are processed only for the authorized private workflow, security, disputes, and legal obligations described in these Terms and the Privacy Policy; they are not licensed for general promotional use.
• Loppee may verify, decline, edit, label, rank, or remove listings and content at its discretion, consistent with our published trust and neutrality rules.

6. Jobs

Loppee Jobs is an optional authenticated product. Viewing or applying for jobs requires an authenticated personal customer account. Publishing or managing a job requires an authenticated business-owner account with appropriate authority. Job applications, resumes, screening responses, private messages, account details, and employer workflow data are private and access-controlled, not public registry content.

Employers must be authorized to post the role, provide accurate job information, comply with applicable employment and privacy laws, protect applicant information, and make hiring and applicant-status decisions through an authorized human representative. Applicants must provide accurate information and submit only materials they are authorized to provide. Loppee does not guarantee employment, applicant quality, job availability, employer conduct, or hiring outcomes.

7. Acceptable use

You agree not to:

• Submit false, fraudulent, infringing, or unlawful information.
• Submit a sample, fabricated, or artificially created address to the service-destination feature; enter only a real service address obtained legitimately.
• Impersonate a business or person, or claim a business you are not authorized to represent.
• Interfere with, overload, scrape abusively, or attempt to breach the security of the Services.
• Use the Services to violate any applicable law or third-party rights.

8. Verification classes & no guarantee

Loppee publishes businesses as Verified or Listed. Verified means the current Loppee-controlled checks required for that business passed; Listed carries no such claim. These classes and Trust Cards are informational snapshots, not guarantees or endorsements. Loppee is not a party to a transaction between you and a business.

9. Paid services & billing

Certain reach and workflow features may be offered on a flat paid tier. Fees, billing terms, and applicable refunds are described at purchase and may be processed by Stripe. Payment may expand reach or paid-feature access, but cannot buy a verification class, review authority, or a higher quality band. Any sponsored presentation must be labelled, and a Listed business cannot be placed above an eligible Verified business.

10. Intellectual property

The Services, including their look and feel, software, and content (excluding user-submitted content), are owned by Loppee or its licensors and are protected by intellectual-property laws. These Terms do not grant you any right to our trademarks.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Loppee WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

13. Indemnification

You agree to indemnify and hold Loppee harmless from claims arising out of your submissions, your use of the Services, or your violation of these Terms or applicable law.

14. Termination

We may suspend or terminate access to the Services at any time for conduct that violates these Terms or that we reasonably believe is harmful to Loppee, its users, or third parties.

16. Governing law

These Terms are governed by Florida law and applicable United States federal law, without regard to conflict-of-laws rules, except where mandatory consumer law requires otherwise. A dispute not resolved informally must be brought in a state court located in Duval County, Florida, or the United States District Court with jurisdiction over Duval County, subject to any non-waivable right to bring a claim elsewhere.

17. Changes to these Terms

We may update these Terms from time to time. Continued use of the Services after an update constitutes acceptance of the revised Terms.
